1. Introduction
Welcome to MEWTON Digital ("we," "our," or "us"). By accessing our website, engaging our services, or signing a proposal, you agree to be bound by these Terms and Conditions.
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services constitutes acceptance of these changes.
2. Services Scope
MEWTON Digital provides creative and digital services including, but not limited to, web development, branding, digital marketing, SEO, and content creation.
The specific scope of work, deliverables, and timelines for your project will be detailed in a separate Proposal or Statement of Work (SOW) provided to you before the commencement of any project.
3. Intellectual Property Rights
A. Our Rights
Unless otherwise agreed in writing, MEWTON Digital retains ownership of all underlying technologies, frameworks, pre-existing code, and design tools used to create your deliverables.
B. Client Rights
Upon full payment of all fees, we grant you a perpetual, non-exclusive, worldwide license to use the final deliverables (e.g., the final logo, the live website) for your business purposes.
C. Portfolio Use
We reserve the right to display your project, including screenshots, logos, and descriptions, in our portfolio, website, and social media channels for promotional purposes, unless a Non-Disclosure Agreement (NDA) states otherwise.
4. Client Obligations
To ensure the success of the project, you agree to:
- Provide all necessary assets (text, images, credentials) in a timely manner.
- Review deliverables and provide feedback within the agreed-upon timeframe (typically 3-5 business days).
- Ensure you have the legal right to use any materials (images, fonts, text) you provide to us.
Delays in providing assets or feedback may result in project deadlines being extended.
5. Payment Terms
Unless otherwise specified in your proposal:
- Deposit: A non-refundable deposit (typically 50%) is required to schedule and commence work.
- Milestones: Remaining payments are due upon specific project milestones or final delivery.
- Late Fees: Invoices not paid within 14 days of the due date may incur a late fee of 5% per month.
- Ownership: Final files and administrative access to websites will not be released until full payment has been received.
6. Limitation of Liability
To the fullest extent permitted by UAE law, MEWTON Digital shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our services.
This includes, but is not limited to, loss of profits, data loss, or business interruption. Our total liability for any claim arising out of our services shall not exceed the total amount paid by you to us for the specific project in question.
7. Termination
Either party may terminate a project with written notice if the other party breaches material terms of the agreement.
- Client Termination: You agree to pay for all work completed up to the date of termination. Deposits are non-refundable.
- Agency Termination: If we terminate the agreement without cause, we will refund a pro-rated amount of the deposit based on work not yet completed.
8. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the Dubai Courts.
